By accessing our website or services, you represent that you meet this requirement and agree to use our website and services only for lawful purposes.

SERVICES OFFERED

Build With Static (“Static,” “we,” “our,” “us”) is a marketing agency providing lead generation, paid advertising, professionally shot and edited content, and website design/management for clients. Our service scope may include strategy, creative, tracking/analytics setup, campaign management, landing pages/funnels, and reporting. We may modify, suspend, or discontinue services at our discretion.

CONSULTATIONS AND ONBOARDING

‍

All discovery calls, audits, scoping sessions, and onboarding activities scheduled through our site or scheduling tools are subject to availability and confirmation. We may cancel, modify, or reschedule appointments when necessary (e.g., platform outages, staffing, or other unforeseen circumstances). Clients agree to provide timely access to required accounts, assets, and approvals.

STATIC APP PRIVACY

We offer a white-labeled Static mobile app (the “App”) as an optional add-on for select clients.

• Eligibility & Access. App access requires an active client relationship and a sub-account we provision. Public downloads without a valid login cannot access client data.
• Features & Availability. App modules may vary by plan, permissions, and platform updates. Certain features exist only on desktop. We may add/remove modules or push required updates.
• Third-Party Infrastructure. The App operates on underlying third-party platforms (including GoHighLevel and mobile app stores). Availability depends on those services; outages or changes may affect the App.
• Client Content. Content you and your users upload to the App remains your responsibility. You represent that you have rights to use it and that it complies with laws and applicable platform policies.
• Data & Privacy. Our Privacy Policy (linked below) explains what data the App may collect and how to request deletion.
• Termination. App access ends when your engagement, plan, or sub-account ends. We may suspend access for suspected abuse, security risks, or legal reasons.

PAYMENTS

‍

Unless otherwise stated in an order form or SOW:

• Agency Fees. Fees for services (e.g., retainers, setup/creative fees) are billed by Static and are separate from third-party ad spend.
• Ad Spend. Media costs on platforms (e.g., Google, Meta) are paid directly by you to the platform or reimbursed to us if we advance payment. Ad spend is non-refundable.
• Timing. Fees are due on receipt (or as specified in the invoice/SOW). Late amounts may incur a late fee or service suspension.
• Taxes. Prices exclude taxes unless stated; you are responsible for any applicable taxes.

REFUNDS AND CANCELLATIONS

‍

• Cancellations/Rescheduling. Please give at least 24 hours’ notice for scheduled sessions.
• Fees & Deliverables. Setup fees, completed creative, audits, and time-and-materials work are not refundable once delivered or commenced.
• Campaign Performance. Marketing results vary; we do not warrant specific outcomes (clicks, leads, sales, rankings).

USER CONDUCT

‍

You agree not to use our site, services, or App to break laws; infringe rights; upload malware; interfere with systems; scrape or reverse engineer; harass or defraud; or violate platform terms (e.g., Apple, Google, Meta, Google Ads). We may suspend/terminate access for violations.

‍

INTELLECTUAL PROPERTY

‍

All website content, templates, code, and materials created by Static are protected by IP laws. Unless your SOW assigns or licenses deliverables differently:

• Agency Materials (methods, frameworks, templates) remain Static’s IP.
• Client Materials (logos, product shots, data you provide) remain yours.
• We grant you a non-exclusive license to use deliverables for your internal business during the engagement, subject to payment in full.

COMMUNICATIONS

‍

By providing a phone number or email, you consent to receive emails, SMS/MMS, and calls related to appointments, service updates, account notices, and (with your consent) marketing. You can opt out of marketing messages at any time (reply STOP for SMS or use email unsubscribe).

SMS Compliance Statement:
No mobile information will be shared with third parties/affiliates for marketing or promotional purposes. Information may be shared with subcontractors/service providers solely to support service delivery (e.g., messaging providers). Except for such providers, text-messaging originator opt-in data and consent will not be shared with any third parties.

SITE CONTENT AND ACCURACY

‍

We aim to keep site content accurate and current, but we do not guarantee that descriptions, pricing, or availability are error-free. We may correct errors or update content at any time without notice.

THIRD-PARTY LINKS AND INTEGRATIONS

‍

Our site, services, and App may link to or integrate with third-party platforms (e.g., Google, Meta, GoHighLevel, Stripe, analytics, file storage). These are governed by their own terms and privacy policies. We are not responsible for third-party content, availability, or changes, and your use of those services is at your own risk.

DISCLAIMER OF WARRANTIES

Our site, services, and App are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or specific marketing results.

LIMITATION OF LIABILITY

‍

To the fullest extent permitted by law, Static will not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or goodwill; or platform/account actions by third parties. In all cases, our aggregate liability shall not exceed the fees you paid to Static for the specific service giving rise to the claim during the three (3) months preceding the event.

INDEMNIFICATION

‍

You agree to defend, indemnify, and hold harmless Static and its officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your content or data; (b) your breach of these Terms; (c) your violation of laws or third-party rights; or (d) your misuse of third-party platforms.

MODIFICATIONS

‍

We may update these Terms from time to time. The “Last Updated” date reflects the latest changes. Continued use of the site, services, or App after changes are posted constitutes acceptance of the updated Terms.

GOVERNING LAW

‍

These Terms are governed by the laws of the State of Utah, without regard to conflicts-of-law rules. Exclusive venue lies in the state or federal courts located in Utah, and you consent to their jurisdiction.

SEVERABILITY

‍

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.

ENTIRE AGREEMENT

‍

These Terms constitute the entire agreement between you and Static concerning the site, services, and App, and supersede all prior or contemporaneous agreements on the same subject matter unless otherwise stated in a signed SOW or order form.
